Entity options: WFOE, joint venture or representative office
Foreign investors in Anshan usually choose between three structures. Each has a different legal footprint and tax profile, and the right choice depends on whether you need to invoice customers, employ staff and hold RMB.
Wholly Foreign-Owned Enterprise (WFOE). The default for most founders. A WFOE is a Chinese limited liability company owned entirely by foreign shareholders. It can sign contracts, invoice, hire locally and repatriate profits after tax. Most service, trading and light manufacturing projects in Anshan use this structure.
Joint venture (JV). A Chinese-foreign equity JV can make sense where a local partner brings land, licences, distribution or government relationships you cannot easily replicate. The trade-off is shared control, and the JV agreement needs careful drafting on governance, capital contributions and exit.
Representative office (RO). An RO is a liaison office. It cannot generate revenue, invoice or employ Chinese staff directly through a standard labour contract in the way a WFOE can. It suits market research or a temporary presence before committing to a full entity.
- Choose a WFOE if you plan to earn revenue in China.
- Consider a JV only with a partner you have vetted and documented.
- Use an RO only for non-revenue liaison activity.
